1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of VoxAgent, an AI voice automation platform operated by Epsylon Systems LLC ("Company," "we," "us," or "our"). By creating an account or using our Service, you agree to be bound by these Terms and our Privacy Policy.

2. Eligibility

You must meet the following requirements:

• Be at least 18 years old
• Have legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Represent a legitimate business entity (for commercial use)
• Comply with all applicable telecommunications regulations

3. Account Registration & Security

3.1 Account Creation

You must provide accurate, complete, and current information including your name, email, company details, and payment method.

3.2 Your Responsibilities

• Maintain confidentiality of your password and API keys
• Accept responsibility for all activities under your account
• Immediately notify us of unauthorized access
• Use strong passwords and enable two-factor authentication

4. Acceptable Use Policy

4.1 Permitted Uses

• Legitimate business communications (sales, support, surveys)
• Automated appointment scheduling and reminders
• Lead qualification and follow-ups
• Customer service automation
• Internal employee communication

4.2 Prohibited Uses

• ❌ Illegal activities (fraud, scams, harassment)
• ❌ Calling Do-Not-Call registry numbers without proper exemptions
• ❌ Robocalls or spam violating TCPA/FCC regulations
• ❌ Impersonating individuals or organizations
• ❌ Political campaign calls without authorization
• ❌ Telemarketing without required disclosures
• ❌ Collecting sensitive information without encryption
• ❌ Overloading infrastructure (excessive API requests)
• ❌ Reverse engineering or extracting source code
• ❌ Reselling or sublicensing without written authorization

5. Subscriptions & Payments

5.1 Plans Available

• Monthly Subscriptions: Billed monthly, cancel anytime
• Annual Subscriptions: Billed yearly, 20% discount
• Lifetime Licenses: One-time payment, perpetual use (fair use policy applies)

5.2 Pricing & Payments

• Pricing available at vox-agent.ai/pricing
• Payments processed via Stripe (we don't store card details)
• Monthly plans: Charged on same day each month
• Overages: $0.30–$0.50 per call beyond plan limits
• Failed payments: 7 days to update payment info before suspension

5.3 Refund Policy

• Pilot Program: Where a pilot or trial period is offered, refund eligibility is defined in your Statement of Work (SOW)
• Setup Fees: Non-refundable once implementation work has begun
• Prorated Refunds: Not offered for mid-billing cancellations
• Disputes: Contact billing@vox-agent.ai within 60 days

6. Service Level Agreement (SLA)

6.1 Uptime Targets

• Starter: 99.5% uptime target (best effort)
• Professional: 99.9% uptime target
• Enterprise: 99.9%+ uptime target

Uptime targets reflect our infrastructure objectives. Specific service-level commitments and any associated service credits, where applicable, are defined in your Statement of Work (SOW).

7. Limitation of Liability

To the fullest extent permitted by law, Epsylon Systems LLC shall not be liable for indirect, incidental, or consequential damages, lost profits, or data loss due to misconfiguration.

Our total liability is capped at the amount you paid for the Service in the last 12 months.

8. Termination

We may terminate or suspend your account immediately if you breach these Terms, especially for illegal use, fraudulent activity, or violation of telecommunications laws.

9. Governing Law & Jurisdiction

These Terms are governed by Florida law. Any disputes will be resolved in courts located in Miami-Dade County, Florida.

10. Changes to Terms

We may update these Terms periodically. Material changes will be communicated via email, in-app notification, or prominent website banner. Continued use after changes constitutes acceptance.
