1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of VoxAgent, an AI voice automation platform operated by Epsylon Systems LLC ("Company," "we," "us," or "our").
By creating an account or using our Service, you agree to be bound by these Terms and our Privacy Policy.
2. Definitions
- "Service" refers to VoxAgent's AI voice agents, API, dashboard, and related software
- "Account" means your registered VoxAgent user account
- "Content" includes call recordings, transcripts, AI prompts, and data you provide
- "Subscription" refers to your paid plan (Starter, Professional, Enterprise, or Lifetime)
- "API" means our application programming interface documented at vox-agent.ai/docs/api
3. Eligibility
You must meet the following requirements to use VoxAgent:
- Be at least 18 years old
- Have legal capacity to enter into binding contracts
- Not be prohibited from using the Service under applicable laws
- Represent a legitimate business entity (for commercial use)
- Comply with all applicable telecommunications regulations in your jurisdiction
4. Account Registration
4.1 Account Creation
To use VoxAgent, you must create an account by providing accurate, complete, and current information including your name, email, company details, and payment method.
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your password and API keys
- All activities that occur under your account
- Immediately notifying us of unauthorized access
- Using strong passwords and enabling two-factor authentication
4.3 Account Accuracy
You must keep your account information up-to-date. Failure to do so may result in service interruption or account suspension.
5. Acceptable Use Policy
5.1 Permitted Uses
You may use VoxAgent for:
- Legitimate business communications (sales, support, surveys)
- Automated appointment scheduling and reminders
- Lead qualification and follow-ups
- Customer service automation
- Internal employee communication (HR, IT helpdesk)
5.2 Prohibited Uses
You may NOT use VoxAgent for:
- ❌ Illegal activities (fraud, scams, harassment)
- ❌ Calling numbers on Do-Not-Call registries without proper exemptions
- ❌ Robocalls or spam in violation of TCPA/FCC regulations
- ❌ Impersonating individuals or organizations
- ❌ Political campaign calls without proper authorization
- ❌ Telemarketing without required disclosures
- ❌ Collecting sensitive information (SSN, credit cards, medical data) without encryption
- ❌ Overloading our infrastructure (excessive API requests, abuse)
- ❌ Reverse engineering, decompiling, or attempting to extract our source code
- ❌ Reselling or sublicensing the Service without written authorization
⚠️ Compliance Warning: You are solely responsible for compliance with TCPA, TSR, FCC regulations, GDPR, CCPA, and all applicable laws. Violations may result in immediate account termination and legal liability.
6. Subscriptions and Payments
6.1 Subscription Plans
VoxAgent offers both subscription and lifetime license models:
- Monthly Subscriptions: Billed monthly, cancel anytime
- Annual Subscriptions: Billed yearly, 20% discount
- Lifetime Licenses: One-time payment, perpetual use (subject to fair use policy)
6.2 Pricing
Current pricing is available at vox-agent.ai/pricing. We reserve the right to change pricing with 30 days' notice. Price changes do not affect active subscriptions until renewal.
6.3 Payment Terms
- Payments are processed via Stripe (we do not store your card details)
- Monthly plans: Charged on the same day each month
- Overages: Additional calls beyond your plan limit are billed at $0.30–$0.50 per call
- Failed payments: You have 7 days to update payment info before account suspension
6.4 Refund Policy
- 30-Day Money-Back Guarantee: Full refund if you cancel within 30 days of initial signup (one-time only)
- Prorated Refunds: Not offered for mid-billing period cancellations
- Lifetime Licenses: Refundable within 30 days of purchase, minus usage fees
- Disputed Charges: Contact billing@vox-agent.ai within 60 days
7. Service Level Agreement (SLA)
7.1 Uptime Guarantee
We commit to the following uptime SLAs:
- Starter: 99.5% uptime (Best effort)
- Professional: 99.9% uptime
- Enterprise: 99.99% uptime
7.2 Service Credits
If we fail to meet our SLA:
- 99.5%-99%: 10% service credit
- 99%-95%: 25% service credit
- <95%: 50% service credit
Credits are applied to your next invoice. Request within 30 days at support@vox-agent.ai.
7.3 Exclusions
SLA does not cover outages caused by:
- Scheduled maintenance (announced 48 hours in advance)
- Third-party failures (Twilio, AWS, internet backbone)
- Your actions (API abuse, configuration errors)
- Force majeure events (natural disasters, war, etc.)
8. Intellectual Property
8.1 Our IP
All rights to VoxAgent, including software, AI models, voice synthesis technology, documentation, and branding, are owned by Epsylon Systems LLC.
You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription term.
8.2 Your Content
You retain ownership of your data, call recordings, and custom scripts. By using the Service, you grant us a license to process your data solely to deliver the Service.
8.3 Restrictions
- You may not reverse engineer, decompile, or disassemble our software
- No redistribution or resale without written permission
- No removal of copyright notices or proprietary markings
9. Data Processing
As part of our processing agreement, Epsylon Systems LLC acts as a data processor. You act as the data controller. We process personal data only as instructed by you, in accordance with GDPR, CCPA, and other privacy laws.
10. Limitation of Liability
To the fullest extent permitted by law, Epsylon Systems LLC shall not be liable for:
- Indirect, incidental, or consequential damages
- Lost profits or revenue
- Data loss due to your misconfiguration
- Business interruption
Our total liability is capped at the amount you paid for the Service in the last 12 months.
11. Termination
We may terminate or suspend your account immediately if you breach these Terms, especially for:
- Illegal use of the Service
- Fraudulent activity
- Violation of telecommunications laws
- Repeated abuse of our systems
Upon termination, your right to use the Service ends immediately. You will lose access to call history after 30 days.
12. Governing Law & Jurisdiction
These Terms are governed by Florida law. Any disputes will be resolved in courts located in Miami-Dade County, Florida.
This choice of venue reflects our operational headquarters and commitment to US-based legal standards.
⚖️ Dispute Resolution
We encourage amicable resolution. For formal disputes, arbitration through the American Arbitration Association (AAA) applies to claims over $50K.
13. Changes to Terms
We may update these Terms periodically. Material changes will be communicated via:
- Email to your registered address
- In-app notification
- Prominent banner on our website
Continued use after changes constitutes acceptance.
